Business Disposals
Devise the optimal disposal strategy (type of process, transaction structure, targeted valuation, timing, identification and selection of appropriate potential investors, management, etc.) in order to maximise terms and conditions for our clients;
Prepare and coordinate the disposal process (business plan, early identification of potential deal breakers, information memorandum, due diligence, interactions with potential investors and coordination of bidding process, analysis of offers received, recommendation for preferred buyers, etc.) and manage the team of advisers involved (due diligence providers, lawyers, communication agency, etc.);
Assist our clients, together with other advisers, in negotiations and process execution until closing.
Acquisitions
Advise our clients on the acquisition rationale, the adequate valuation as well as the most appropriate acquisition strategy;
Coordinate the acquisition process (analysis of information memorandum and other information provided by the seller, draft offer letters, coordinate due diligence, prepare internal presentations, etc.) and manage, if needed, the whole team of advisers involved (due diligence service providers, lawyers, communication agencies, etc.);
Assist our clients, together with other advisers, in negotiations and throughout the entire execution of a deal until closing.
Joint Ventures and Mergers
Advise our clients on the optimal structuring of the combination of two or more businesses and on their respective valuation, as well as on corporate governance considerations to achieve our clients’ strategic objectives;
Coordinate the whole merger process, which may require selling and acquiring a business at the same time;
